    I like to trade and invest in stocks in my free time and like most people whenever a new meme stock comes around, I like to watch from the sidelines and sometimes join in with a few shares. After seeing the aftermath/now of the huge impact millions of retail investors had on stocks like GME, AMC, etc. I started to wonder... What if all of these retail investors were to vote together? Could they have a significant effect on a company? Personally, I will just ignore any email I get about voting at a shareholder meeting since I know my vote will be meaningless but if retail investors, or reddit for example, was to come together and vote wouldn't there be a possibility that they could actually change a company? I have very little knowledge on shareholder voting so maybe my random thought was meaningless but if there was a way for retail investors votes to actually make a change it would be interesting to think about the possibilities.     Hello, r/stocks. I am trying to be a responsible investor and vote on the issues presented to shareholders for various annual meetings. The problem is that I really don't know how to effectively find information on the people and proposals beyond the recommendation of the board. For example, Ford ($F) is holding a meeting and presented this proposal, on which the board is recommending a "no" vote: Relating to Consideration of a Recapitalization Plan to Provide That All of the Company's Outstanding Stock Have One Vote Per Share. Is there a place or method that people use to find independent recommendations on shareholder voting? Obviously, this would be mostly for big companies; I don't expect much info on an OTC junior mining venture, etc. Thanks for any advice!     For those that don’t know: https://www.google.com/amp/s/www.marketwatch.com/amp/story/magnachip-stock-soars-toward-a-record-after-14-billion-deal-to-be-acquired-by-wise-road-capital-2021-03-26 MX is being bought out and going private. Shareholders will receive 29/share. Current price is 22.xx. The board approved the buyout in march. All that is left is a shareholder vote and standard regulatory approvals. Supposed to occur in the latter half of 2021. I recently put 5k (35% of portfolio) into this with an average cost of 23.76. And now it’s dipped even lower to where returns are approaching 30% at the current price. I’m still fairly new so I’ve not seen this happen yet with stocks I’m I hold. How unlikely is this not to go through? I can’t imagine shareholders would vote against free money. Is it common such buyout is not approved by the SEC?     This post is based on a conversation I had with Niccolo De Masi who is very experienced in the SPAC business. He has done 4 SPACs so far. The purpose here is to get a better understanding of what the process is when a Startup goes from a private company to a publicly listed company with a SPAC IPO. If you prefer to see it as a video instead it is available here. #1 CHECK THE BUSINESS FUNDAMENTALS What does it take to SPAC IPO a business very much depends on the sector. You will be compared to your peer group. Requirements are pretty much the same as any other type of IPO. #2 GET TEAM AND PARTNERS READY FOR THE SPAC You will be a public company when the deal closes, you have to be ready for that. Hire a CFO. Appoint auditors. Get the forecasts ready, be very conservative you must make the numbers. You have a year to get compliant after you close the SPAC. #3 FIND A SPAC Similar to finding any other investor. Meet a few and see what is a good match. You can hire a banker to find a SPAC, but be aware that there are a lot of people in the SPAC business that are learning on the job. Try and work with experienced people, people that have done a SPAC before. This goes for lawyers, accountants and advisors too, hire experienced people. #4 CLOSE THE DEAL WITH THE SPAC First, a letter of intent is made with binding exclusivity and terms this is a shorter 8-10 page document. After that, the business combination agreement is made and this can be several hundred pages. Start talking to investors about raising more capital in a PIPE. The PIPE is short for Private Investment in Public Equity which is extra money into the transaction. PIPE is often used for secondaries. #5 TELL THE WORLD AND START TRADING The business combination agreement and PIPE agreements are signed and the announcement is made. At this point, anyone can buy shares in the SPAC even before the merger has happened. Once the SEC has approved the merger the shareholder of the SPAC vote and the merger actually happens.
