Tilray is currently being massively overvalued by meme stonkers and WSB. It's largely hype and dumbasses trying to 'stick it to the hedge funds!!' If you're in it for the quick gains then sure, jump on Tilray, but if you're looking for LONG-TERM investments in weed wait for this to settle or just buy Aphria and average down on next dip if it happens. Why Aphria over Tilray? Full disclosure, I have been long on Aphria since it was $4. This is because they are: Low on debt Revenue growing Focus on consumer-side market which will grow in the next few years significantly Not a meme stonk Tilray? Take a look at WSB and you'll see plenty of "It's a short squeeze, apes!!!" getting thrown around a lot, which doesn't make much sense, but what did you expect? Honestly, they might ruin a good company. Tilray has: Crapton of debt compared to Aphria Less revenue to justify valuation Focus on the bio/pharma side of things which is always a gamble (pharma stocks in general) You could argue weed in general is also risky, but momentum is going in the direction of a soon to be much larger legal marijuana market.     This is my first time holding a stock that is merging with another company. I noticed that the price of Aphria has froze today, while Tilray continues to fluctuate. The merger was approved by both companies, but there doesn't seem to be a set date that it will complete. Will Aphria's stock price stay frozen until the merger is complete? The stock conversion rate is already set, so I know that I can technically determine the "new" value of my Aphria stock based on the price of Tilray, but with Aphria frozen, I guess I will have to hold until after the stock converts to realize any gains? If Tilray tanks would I be able to sell the Aphria at the frozen price even if that makes it technically overvalued?     Forgive me, I am just too confused, and am hoping to receive some clarity on this merger. I understand the terms of the merger, or, should I say, the reverse merger. Aphria is absorbing Tilray, but the APHA ticker will change to TLRY. There will be 7 original Aphria board members, only 2 original Tilray board members, and the CEO of Aphria will remain the CEO. So, it's really Aphria, just rebranded as "Tilray." I keep reading advice that encourages "buy Aphria stock, even ahead of the merger, just in case the Aphria shareholders vote against the merger." However, in my opinion, the merger is more than likely going to happen. And, assuming it does, the TLRY ticker is what you're going to want in your portfolio. NOT APHA. Especially considering the disadvantageous 1 to 0.8381 conversion from APHA to TLRY. Assuming the merger happens, the masses are only going to be ecstatic about the merger and buy more TLRY stock (ahead of the very possible positive earnings in the next couple years). I just don't see the price of TLRY tanking any time soon. Especially long term, where Tilray will probably start turning positive revenue. To me - there are bear factors to keep in mind, as there always are - but there's far more bull factors that are playing in Tilray's favor. I'm long-term bullish on Tilray AND TLRY's price.     I invested in Aphria through Ally investing a few years ago. I only held one share. They recently merged with Tilray and the other day, my stock disappeared. After spending two hours on hold with Ally today, they informed me that Tilray was offering 0.8381 Tilray shares for each Aphria stock, but was not issuing any fractional shares and they had opted not to provide cash equivalent for these shares so I had to accept a total loss. Does anyone know the legality of this?     This information is for shareholders who are still questioning the reasoning behind the 0.8381 share exchange rate for the APHA to TLRY conversion. I have copied the following from the shareholder proxy circular that I received. ​ The agreed Exchange Ratio is 0.8381. This means that upon completion of the Arrangement, each holder of Aphria shares will receive 0.8381 of a Tilray Share for each Aphria Share. Since Tilray currently has approximately 188,932,853 shares outstanding andAphria has approximately 360,461,839 shares outstanding, each on a fully diluted basis, on the closing of the Transaction, it is expected (based on the shares of Tilray and Aphria issued and issuable as of March 12, 2021) that the Exchange Ratio will result in Aphria Shareholders owning approximately 61.2% of the outstanding shares of Tilray, and existing Tilray Stockholders owning approximately 38.8% of the outstanding shares of Tilray.(2) If there is no change in the issued and outstanding share numbers prior to closing, Tilray is expected to issue and make available for issuance an aggregate of approximately 298,450,205 new shares to Aphria Shareholders (298,450,205 / (188,932,853 + 298,450,205 = 61.2%) in exchange for their Aphria Shares (calculated using the treasury stock method).     Curious if anyone has any out of the box catalyst projections for Tilray in the near term. I was originally in APHA and did very well buying/selling, then held on to a sizable position through the merger with Tilray and continue to hold. We all know that the obvious next catalysts are the August earnings report as well as any legalization news in the US, but I am wondering if anyone thinks there could be other more obscure catalysts out there that we might see. Excited to hear some cool ideas, think hard and comment below! Just so you know what my investment status is with this company, I am currently at 1,991 Shares and still buying this dip!!!! Such a long term believer in the combined Aphria/Tilray hulk of a cannabis company. The executive team is in touch with their demographic, and through very thought out acquisitions and cost cutting measures, are positioning this company very well for future overseas medical cannabis opportunities as well as Canadian and US recreational.     If I wanted to make an investment to follow the growing interest in pot stocks, then I’d look to the US public markets. Cannabis stocks are notoriously volatile. Nevertheless, the sector is showing signs of resilience, with M&A activity helping strengthen and merge key players. Will Tilray become top dog? Major pot stock Aphria (NASDAQ:APHA) has been given the green light from shareholders to acquire Canadian rival Tilray (NASDAQ:TLRY). This puts the wheels in motion for the world’s largest pot stock by revenue to take shape. Tilray shareholders still have to agree, but it’s looking increasingly likely. If the reverse takeover goes ahead, the new entity will be known as Tilray. But it will be Aphria’s CEO leading the new company and Aphria management will hold seven of the nine board seats. Aphria is dual-listed on the Toronto Stock Exchange and NASDAQ. Meanwhile, its closest rivals in the Canadian markets are Canopy Growth and Aurora Cannabis. Growing acceptance The medical marijuana sector has been gaining acceptance throughout the US and UK. And now pressure’s rising on Europe to better regulate it too. Hence, the region is gaining global appeal as the next market to expand into. The Aphria/Tilray merger would put it in a powerful position to make inroads into the European sector. That’s because Aphria already has assets in Germany, while Tilray has a facility in Portugal. In November, Aphria acquired SweetWater, an American craft beer company for $300m. Meanwhile, Tilray has also begun building a US presence through its acquisition of Manitoba Harvest. These brands should make it easier for the new company to expand throughout the US. There’s also greater interest in pot stocks with anticipation the Biden administration will decriminalise the sector at the federal level. Share price volatility continues Aphria’s share price fell this week after Q3 sales and earnings per share came in lower than expected. This was due to Covid-19-related costs and loss of revenues from physical store closures. Long-term risks shareholders should consider include the highly competitive landscape and the costs in distribution and running physical stores. A lot will depend on how long it takes for US states to legalise, for decriminalisation to come from the federal level, and how quickly Europe rolls out their medical marijuana regulatory framework. This could all take some time. Then there’s Covid-19, which may continue to cause disruption. Should I buy Tilray or Aphria stock before the merger? If I buy 100 Tilray shares today, it will cost me approximately $1,770. And, if I buy 100 Aphria shares today, it will cost me approximately $1,400. Aphria may seem the obvious choice, as it’s cheaper, but when the companies merge, my Aphria shares will be converted at a rate of 0.8381. This means I would have approximately 83 shares of the new company. Whereas the number of Tilray shares I would own would stay the same. So, it very much depends on the share price at the time of purchase. As long as the company can continue to make sales and expand, then the growth story could continue to be great for keeping the share price buoyant. But, I’d prefer to wait and see what the new company looks like after the merger goes through before investing.     I've been interested in weed stocks for a while, primarily as a side-bet. Namely $APHA due to the upcoming Tilray merger. Done a little research on the topic and all seems pretty hopeful. Aphria/Tilray will be the worlds largest cannabis company so I'm sure they'll want to get into the developing Mexican market ASAP. Very few things are certain in this game, but the upcoming chain of events for these two companies is surely something to take note of. Any further thoughts on this? My wildest speculation is that the Cartels, who stand to lose the most from this legalization, might do something, somehow to hamper the industry's development. Then again, they aren't stupid. The winner in the short term, when retail is a free for all and giants rise and tumble, will be wholesalers. Who is crushing this market? A company you probably never heard of, Cresco Labs. This company grows sustainably year in and year out, and should benefit handsomely from continuing legalization.     I have seen valid skepticism regarding Tilray's ability to export cannabis to the United States and that the hype that made TLRY price climb was baseless, but seems to me that they are aware of the importance of US Market and I would not be surprised if they also found a way to sell recreational marijuana in the US after it gets decriminalized by the democrats. Tilray is a Canada based cannabis company. Their stocks have seen 22.46% increase since the market open today as of now. I also have VFF and CGC, but Tilray seems like a solid competitor.     The market is going crazy with money shifting in multiple locations. I can’t say where things actually are going, because one can say bonds, one can say travel, one can say oil, but to be honest, no one knows except the ones who control the media. In the Cannabis industry, there is so much progress from legalization in the states, to Mexico, to international regulations relaxing. That being said, this “market correction” has no business affecting the cannabis market. The cannabis market is one in itself, and the trend for this industry should be completely Broken from nasdaq, s&p and Dow. So tomorrow, even though we see red for futures, I hope the trend doesn’t follow like it has been for the last couple weeks. Unfortunately, it’s probably not going to decouple like it should, but I’m hoping the media can start supporting that narrative. Long term, very bullish. In the next two weeks, I’m sure.     I know the volume of weed stocks has been up significantly recently and is super tempting to get in but also confusing when and where to get in, but I believe in the weed industry over time as much as I believe in anything and MY ADVICE is if you don’t want to risk your money with volatility caused by people just buying it to pump or whatever, you should look into weed ETFs like $THCX for example, the one I am holding. The ETF has holdings in aton of the major weed stocks from tilray to aurora and over time as the weed market goes up, it will inevitably go up. I’m not against buying single company stocks for weed but in my eyes the industry is unpredictable and an ETF is smart to look into. What will happen to calls ? Lets say i have 1 call.. does the price get adjusted to Tilray stock or the number of stocks in that call option get reduced (from 100 to 83) Edit 1 : Or Do i need to close the option before merge date ?     Tilray (NASDAQ: TLRY) reported fourth-quarter 2020 financial results after the regular market hours on Wednesday.   48. Aphria and Tilray (12/03/2021 - Reddit Stocks)
    Currently, these stocks were on a rise today of about 12-16% just on the day. I have been invested in these companies in and out for quite some time. There is a scheduled merger between these two companies were all Aphria (APHA) shares will become TLRY shares with a conversion rate of every APHA share converting into roughly 0.83 TLRY shares come end of 2nd quarter (believe that would be April 14th). What I have noticed is that TLRY has been trading higher than it maybe should be given this conversion ratio. Basically, this means that if this conversion ratio were to be implemented today, it would be beneficial to buy APHA as these shares are currently worth less than 83% of the value of TLRY shares. At the time of writing this post, APHA is trading around $19.82 whereas TLRY is trading around $28.55. If the 0.83 conversion were to take place now, every APHA share would be converted into 0.83 TLRY shares which would be worth ~$23.70. It seems to me that in spite of this merger next month, either APHA is trading lower than it should or TLRY is trading higher. These stocks follow similar trends too and have essentially been consistently trading around the same percentage with APHA always trading lower than 83% of TLRY. My question is, shouldn’t the market adjust so that APHA gets closer to 83% of TLRY either by APHA going up independently of TLRY or TLRY going down independently of APHA. Otherwise am I missing something such as will the merger anyway reduce the stock price. Or perhaps since the merger is more than a month away this adjustment just hasn’t happened yet?
